Well, you've certainly got the "waltz" aspect of it down... it's a very dancable tune, in a classical way. It's chorded pretty interestingly, and I think that's a great part of what keeps the attention, especially coupled with the strong clear melody presented. Though, to throw very cool changes in for the first half and run the second half pretty cut-and-dry chordwise is almost unfair to the listener. The ear by then expects unusual changes, but is treated to fairly standard ones. I think that's probably the piece's only weakness.
I'm all for a short, interesting restatement of the original theme as a coda - perhaps in a slightly raised or lowered key? - before a cadence. I think that'd justify the very traditional style of the current latter half and really grab the listener's attention again. Just my suggestion.
Other than that one criticism, I think you've got a great composing style, a knack for catchy melodies, and some pretty clever changes in the first half. Keep up the great work!

Much appreciated. I've not had any composition classes yet and i've not studied much on classical form, but I do understand a lot of theory. But my weird chord changes are going from a C-minor to C#-minor. I like the way some notes such as the Eb/D# and Ab/G# transpose through those two keys in a very interesting melodic fashion.

btw... how much of the original theme. Just the first six measure that lead up to the first cadence...or beyond that?

I'm not sure... just a short restatement, perhaps only the original theme. It was just a random idea.
Also, the C-minor to C#-minor thing makes perfect. There are those great enharmonic links between the keys, as you described, and hearing the Ab/G# chord, which has a very specific function in both of those keys, is what was generating that pull on my ear. Gotcha. Very clever.
Sorry about not responding in a timely fashion... there were some issues with my being able to post, as in I was unable to thanks to an error in the system. It's fixed now.
